Qualifications

• Experience with securities filings (10-K, 10-Q, 8-K, Section 16).
• Strong governance, board processes, and investor relations support.
• Experience managing outside counsel and working with senior leadership.

Responsibilities

• Provide legal advice on securities laws and SEC compliance.
• Support annual proxy and governance matters; prepare for meetings.
• Review contracts and support corporate transactions.
• Advise on governance documents, board and committee materials.
