Job summary

Net Power Inc. of Houston, TX is seeking an experienced Corporate Counsel to own SEC reporting, board governance support, equity plan administration, and entity management across the corporate and project-entity structure.

The role interfaces with Finance, Investor Relations, HR, and the Board, and offers exposure to capital markets transactions and project financings. The position is on-site in Houston with a hybrid schedule (3 days in office, 2 remote) and occasional travel to project sites

Qualifications

  • Two+ years of corporate/securities or energy-transactional legal experience.
  • Experience with SEC reporting obligations (Forms 10-K/10-Q/8-K).
  • J.D. and active bar status in at least one U.S. jurisdiction.
  • Ability to work on-site in Houston, Texas.

Responsibilities

  • Prepare and coordinate SEC reports and proxy statements with Finance and outside counsel.
  • Serve as primary legal contact for the Board and committees; manage governance materials.
  • Administer equity incentive plans and Section 16 reporting.
  • Oversee insider trading policy compliance and governance-related policies.
  • Manage entity structure, outside counsel, and records across entities.
