Job summary

Fluence Energy, Inc. is seeking an Assistant General Counsel with 6-8 years of experience to join our in-house legal team in Houston, TX. You will advise on securities offerings, SEC reporting, disclosure, and corporate finance matters, partnering with senior leadership and finance teams.

The role emphasizes strong drafting, negotiation, and strategic judgment, with exposure to capital markets, debt facilities, and governance processes in a fast-paced energy technology environment.

Qualifications

• J.D. from an accredited law school and active bar membership in good standing.
• 6–8 years of relevant experience; 3 years at a national law firm; 1–2 years in-house.
• Substantial SEC reporting and disclosure experience for public companies.
• Hands-on capital markets experience (debt and/or equity offerings).
• Experience negotiating credit agreements and related finance documents.

Responsibilities

• Lead Form 10-K/10-Q/8-K work and AGM planning with cross-functional teams.
• Partner with Investor Relations on earnings releases and disclosures.
• Oversee internal controls, disclosure procedures, and the disclosure committee.
• Manage Section 16 reporting obligations for executives and directors.
• Advise on Nasdaq rules, Regulation FD, and executive compensation disclosures.
• Support debt financings and other capital market transactions.
• Assist M&A and corporate governance initiatives as needed.
