Job summary

Net Power Inc. is seeking an experienced Corporate Counsel to join its Houston-based team. The role reports to the General Counsel and handles SEC reporting, governance support, equity-plan administration, and entity management across corporate and project-company structures.

Hybrid on-site in Houston, TX with three days in the office and two days remote. Travel to project sites and board meetings may occur.

Qualifications

• Two+ years of corporate/securities experience in-house or at a firm.
• J.D. and active bar admission in at least one US jurisdiction; Texas preferred.
• Experience with SEC reporting and governance processes is required.

Responsibilities

• Prepare SEC forms 10-K, 10-Q, 8-K and proxy statements with Finance and outside counsel.
• Serve as primary liaison to Board and committees; prepare agendas, minutes, and resolutions.
• Administer equity incentive plans and Section 16 reporting; monitor compliance.
• Oversee entity management across corporate and project-entity structure; coordinate with outside counsel.
