Job summary

Qualifications

• 18+ years professional experience, including 7+ years in government contracts and IP.
• Experience in commercial and government contracts, IP, and related legal domains.
• Significant contract negotiation and drafting experience to expedite deal closures.
• IP matters including patent portfolio management, licensing, and IP transactions.
• Strong FAR/DFARS knowledge and data rights familiarity.
• Bar admission (JD) in at least one U.S. jurisdiction.

Responsibilities

• Support government contracts negotiation and administration of the Company’s business.
• Draft and negotiate government contract clauses, subcontracts, and teaming agreements; address ethics and conflicts of interest.
• Lead the review, drafting, and negotiation of commercial agreements with vendors and service providers.
• Provide legal guidance on IP rights, licensing, NDAs, and data rights in various contracts.
• Support due diligence for acquisitions, corporate transactions, and regulatory compliance.
