Job summary

LeoLabs seeks a Senior Corporate Counsel to support U.S. Government contracting, commercial transactions, compliance, and governance.

You will partner with leadership to identify and mitigate legal and regulatory risks while enabling growth across a fast-paced organization. Ideal candidate has 10+ years of experience, strong expertise in FAR/DFARS, export controls (ITAR/EAR), and experience managing outside counsel and corporate transactions.

Qualifications

• J.D. degree and active U.S. bar admission.
• 10+ years in legal roles, including aerospace/defense or VC-backed growth.
• Experience with government contracting lifecycle, FAR/DFARS compliance, and negotiations.
• Proven track record drafting and negotiating MSAs, SLAs, SaaS, and vendor contracts.
• Experience with corporate governance and M&A.
• Strong knowledge of export controls (ITAR/EAR).
• Experience implementing KYC compliance programs.
• Experience handling IP, licensing, data rights in commercial matters.
• Ability to guide HR and Recruiting on employment legal matters.

Responsibilities

• Provide legal support across U.S. Government contracting, commercial transactions, compliance, governance, and day-to-day activities.
• Advise on regulatory risk, negotiate prime/subcontracts, and manage REAs, bid protests, and audits.
• Develop scalable contract templates, playbooks, and processes to support operations.
• Advise on ITAR, EAR, sanctions, and export controls; implement compliance policies.
• Support governance, Board matters, and M&A activity; coordinate with outside counsel.
