POSITION PURPOSE
This is a permanent, exempt position reporting to the General Counsel & VP, Regulatory. The individual will serve as a legal advisor to Key Capture Energy (“KCE”) on a wide range of legal matters, with a focus on corporate, contractual, finance, and commercial issues.
KEY RESPONSIBILITIES:
- Advise in-house teams, including Commercial, Finance, Development, Engineering & Construction, and Asset Operations, on various legal matters, especially related to finance, commercial transactions, tax credits, mergers & acquisitions, and corporate issues. Additional responsibilities may include litigation, real estate, interconnection, and transactional concerns.
- Provide strategic legal guidance to internal clients on finance, tax, commercial, and corporate matters.
- Draft, review, and negotiate documents related to battery energy storage system (BESS) projects, such as project financings, commercial agreements, investment tax credits, joint ventures, mergers & acquisitions, and transactional documents like NDAs and master service agreements.
- Manage external legal counsel for all aspects of KCE’s operations, including finance, commercial, tax credits, mergers & acquisitions, and corporate matters.
- Assess and mitigate risks throughout project stages from pre-bid to operations.
- Assist in developing and managing corporate policies in collaboration with the General Counsel & EVP, Regulatory.
- Perform other duties as assigned.
WORK EXPERIENCE & REQUIREMENTS:
- Juris Doctor from an accredited law school and membership in at least one state bar association.
- 4+ years of legal practice, preferably with a leading law firm or in-house, focusing on contracts and financings related to renewable energy projects.
- Strong drafting and communication skills.
- Proven problem-solving skills and ability to develop practical solutions.
- Experience supervising and managing legal support staff.
- Demonstrated project management skills and ability to work collaboratively in teams.
- Capacity to handle multiple projects efficiently and effectively.
- Ability to identify business opportunities and risks.
- Excellent organizational and time-management skills.
- Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint).
- Ability to work well in a small team environment.
