Job summary

Accuray in Madison, WI is seeking a Senior Counsel, Commercial Transactions to provide practical, business‑oriented legal advice on commercial sales activities and strategic initiatives. The role partners with Sales, Operations and other teams to structure, draft and negotiate complex agreements.

You will draft distributor, reseller, confidentiality and supplier agreements, manage risk, and help improve contract processes, templates and training.

Qualifications

• BA/BS and Juris Doctor (JD) degree required.
• Active license to practice law in at least one U.S. jurisdiction.
• Minimum of 7 years of relevant commercial legal experience.
• Demonstrated experience advising on complex commercial transactions.
• Ability to independently assess legal and commercial risk and provide practical, business-oriented recommendations.

Responsibilities

• Provide timely, practical and business‑oriented legal advice regarding commercial sales activities and related strategic initiatives.
• Draft and negotiate complex customer-facing commercial agreements, including equipment sale, software licensing, and service agreements.
• Draft and negotiate distributor, reseller, confidentiality, consulting and supplier/vendor agreements.
• Partner with Sales, Sales Operations, Commercial Operations and other teams to support commercial transactions and business objectives.
• Independently manage commercial matters and escalate significant legal, regulatory or business risks to Legal and business leadership.
