Job summary

Accuray seeks a Senior Counsel, Commercial Transactions to advise on commercial sales activities and strategic initiatives. You will draft and negotiate complex customer-facing agreements and collaborate with Sales, Operations and other teams to enable business objectives while managing risk.

Reporting to the Chief Legal Officer in the Legal Department, you will help develop contract templates, negotiation playbooks and training to improve efficiency and consistency across the organization.

Qualifications

• BA/BS and JD with active bar admission
• Minimum of 7 years of relevant commercial legal experience
• Experience advising on complex commercial transactions and supporting sales teams
• Ability to independently assess legal and commercial risk and provide practical recommendations
• Strong judgment, analytical, negotiation and problem-solving skills

Responsibilities

• Provide timely, practical and business-oriented legal advice regarding commercial sales activities and related strategic initiatives.
• Draft and negotiate complex customer-facing commercial agreements, including equipment sale, software licensing, and service agreements.
• Draft and negotiate distributor, reseller, confidentiality, consulting and supplier/vendor agreements.
• Partner closely with Sales, Sales Operations, Commercial Operations and other functional teams to support commercial transactions and business objectives.
• Independently manage commercial matters and appropriately identify and elevate significant legal, regulatory or business risks to Legal and business leadership.
• Collaborate with other members of the Legal team on strategic initiatives and broader legal matters as needed.
