Job summary

Accuray in Madison, WI, is seeking an Assistant General Counsel, Corporate & Securities to advise on corporate governance, securities matters and to manage SEC filings. You will draft and negotiate complex commercial agreements, guide board governance, and collaborate with finance and compliance teams.

The role requires a JD, active license, 9+ years in-house or firm experience with public companies, and the ability to work with minimal supervision while advancing business objectives.

Qualifications

• BA/BS and JD required.
• Active license in at least one U.S. jurisdiction.
• 9+ years of relevant legal experience in-house or at a law firm with public company exposure.
• Significant SEC reporting and securities law experience.
• Experience drafting and negotiating sophisticated commercial and sales agreements.

Responsibilities

• Advise on corporate governance, securities law and general corporate matters.
• Prepare, review and file Forms 10-K, 10-Q, 8-K, proxy statements and other SEC filings.
• Advise on Board and Committee governance; prepare meeting minutes and Board materials.
• Maintain governance policies and SEC/public company compliance programs.
• Draft and negotiate complex commercial agreements; manage outside counsel as needed.
