Job summary

PerkinElmer is seeking a Senior Corporate Paralegal to join our legal team and support corporate governance, entity management and transactional matters. The role focuses on maintaining records, preparing minutes and resolutions, and coordinating regulatory filings across multiple jurisdictions.

Ideal candidates bring 7+ years of corporate paralegal experience, a strong knowledge of governance principles, and ABA certification.

Qualifications

• Bachelor’s degree in Legal Studies, Business Administration or a related field.
• ABA paralegal certification or equivalent practical experience.
• Minimum of 7 years of experience as a corporate paralegal.
• Extensive knowledge of corporate governance principles, laws, and regulations.
• Familiarity with federal, state and local forms and filing procedures.

Responsibilities

• Maintain corporate records for parent and subsidiaries.
• Prepare formation, maintenance, and dissolution documents across jurisdictions.
• Assist in drafting and reviewing regulatory filings and corporate documents.
• Coordinate due diligence processes and manage data rooms.
• Support contracts database and invoicing for legal operations.
