Job summary

Mainspring Energy is seeking an experienced and highly organized Corporate Paralegal to join our growing Legal team. This role focuses on corporate governance, securities and financing activities, legal operations, and strategic corporate matters as the company scales.

The Corporate Paralegal will work closely with the General Counsel and partner with Finance, HR, and other teams to drive complex projects, maintain records, and support diligence and outside counsel in a fast-paced environment.

Qualifications

• 4+ years of corporate paralegal experience in law firm and/or in-house setting.
• Experience supporting governance, records, and entity management.
• Experience assisting corporate transactions such as financings or M&A.
• Strong organizational skills with ability to handle multiple priorities and deadlines.
• Excellent written and verbal communication, ability to work with attorneys and executives.

Responsibilities

• Support Board of Directors and committee processes, including meeting materials and records.
• Maintain corporate books, records, and subsidiary matters.
• Assist with equity financings, debt transactions, and other corporate transactions.
• Coordinate equity administration and capitalization documentation.
• Develop scalable legal processes, templates, and tracking systems.
• Support execution and organization of significant agreements and documents.
• Coordinate legal diligence and data-room processes for financings and transactions.
• Collaborate with Finance, People, and other teams to move projects forward.
• Assist outside counsel coordination and document management.
• Take on other projects as the Legal team grows.
