Position Overview
We are seeking an experienced, highly detail-oriented Senior Corporate Paralegal to join our Legal team. This role combines sophisticated corporate paralegal work with ownership of the Legal function’s day-to‑day operations. The ideal candidate has a strong background in corporate governance, entity management, equity documentation and transactional support, and will serve as the team’s go-to expert for how legal work gets received, routed, tracked and completed.
Working with limited supervision and under the direction of PerkinElmer attorneys, the Senior Corporate Paralegal will manage parent-company and subsidiary entity matters, prepare board and stockholder materials, support equity and corporate transactions, and run core legal operations processes, including intake mailboxes, work assignment, calendars and invoice processing.
Key Responsibilities
Legal Operations
- Serve as the subject‑matter expert for the Legal function’s day‑to‑day operations, keeping processes, tools and records accurate, efficient and well documented.
- Manage the NDA mailbox: review incoming requests, prepare NDAs from approved templates where appropriate, route non‑standard requests to attorneys, and track requests through to execution.
- Manage the contracts mailbox: triage incoming contract requests, assign work to the appropriate attorney or team member based on priority and capacity, and track status and turnaround times.
- Manage the Legal department calendar, including key filing and compliance deadlines, board and committee meeting dates, and attorney scheduling as needed.
- Process outside counsel and vendor invoices, including review against engagement terms, coding, approval routing and tracking; support legal budgeting and spend reporting.
- Help maintain the legal contracts database, ensuring executed agreements are captured, indexed and retrievable, and respond to requests for contract information and data.
- Identify and recommend improvements to legal intake, workflow and reporting processes.
Equity Documentation & Processing
- Act as a trusted partner on equity matters, preparing, processing and maintaining equity award documentation, grant and approval records, and related agreements.
- Maintain accurate equity records and ledgers, and coordinate with Finance, HR, Payroll and external administrators or counsel to ensure equity transactions are documented and processed correctly and on time.
- Prepare board and committee resolutions, consents and supporting materials related to equity awards and other equity actions.
Corporate Governance & Entity Management
- Maintain and organize corporate records, governance documents and minute books for the parent company and its subsidiaries.
- Prepare stockholder and board of directors minutes, resolutions and written consents.
- Prepare and file documents for the formation, maintenance and dissolution of entities across multiple jurisdictions.
- Ensure timely filing of annual reports and other required documentation to keep entities in good standing.
- Maintain the subsidiary database and respond to related requests for information and data.
Transactional Support
- Assist attorneys in drafting and reviewing documents for mergers, acquisitions and other corporate transactions.
- Coordinate due diligence, including organizing and managing virtual data rooms.
- Prepare closing checklists, coordinate execution of documents and manage post‑closing activities.
Compliance & Regulatory Filings
- Monitor changes in laws and regulations affecting the Company’s operations and flag potential impacts to attorneys.
- Assist in preparing and filing regulatory documents and other compliance‑related submissions.
Cross‑Functional Collaboration
- Liaise with internal departments, outside counsel and regulatory bodies to ensure seamless management of corporate legal matters.
- Support business units on corporate legal and compliance matters under the direction of PerkinElmer attorneys.
Required Qualifications
- Bachelor’s degree in Legal Studies, Business Administration or a related field from an accredited college or university.
- ABA‑approved paralegal certificate or equivalent practical experience.
- Minimum of 7 years of experience as a corporate paralegal, preferably in a corporate legal department or large law firm, performing sophisticated work.
- Hands‑on experience with managing contracts execution and processing, such as equity award agreements, grant records and board approvals.
- Experience running legal operations processes, such as intake mailboxes, work assignment, matter tracking or invoice processing.
- Extensive knowledge of corporate governance principles, laws and regulations, and familiarity with federal, state and local forms and filing procedures.
- Exceptional attention to detail and accuracy, with a track record of managing high volumes of work and deadlines without errors.
Preferred Qualifications
- Experience managing corporate entities across multiple jurisdictions, including international subsidiaries.
- Experience in a private equity–backed or multi‑entity company.
- Experience with entity management, contract management, e‑billing and equity administration platforms.
- Strong organizational and project management skills, with the ability to work independently and prioritize multiple tasks.
- Proficiency in Microsoft Office Suite and legal research databases.
- Excellent written and verbal communication skills, including a clear and concise drafting style.
Compensation
The annual compensation range for this full‑time position is $100,000 to $130,000. The final base pay offered to the successful candidate will be determined by factors including internal equity, work location and individual qualifications, such as job‑related skills, experience and relevant education or training.
