Job summary

Ramp is seeking a Senior Corporate Paralegal to join the Legal team and oversee governance and entity structuring for Ramp’s global portfolio. You’ll maintain accurate records and ensure audit readiness across U.S. and international entities, including regulated subsidiaries.

You will manage board materials, filings, KYC/UBO requests, equity administration, and closing checklists for financings, M&A, and other transactions, collaborating with Finance and People in a fast-paced environment.

Qualifications

  • 6+ years of corporate paralegal experience at a major law firm and/or in-house at a high-growth technology or financial services company.
  • Deep working knowledge of corporate governance, entity formation and maintenance, corporate recordkeeping, and secretary's office functions.
  • Excellent drafting skills across resolutions, consents, certificates, and corporate documentation, with genuine precision.
  • Demonstrated ability to independently run multiple time-sensitive workstreams without dropping threads or waiting to be asked.
  • Strong written and verbal communication skills and the judgment to work directly with executives, board members, outside counsel, and cross-functional partners.
  • Comfort operating in a fast-paced environment where priorities shift and processes are still being built — and a bias toward action.
  • High judgment around confidential and sensitive corporate information.
  • Bachelor's degree or equivalent practical experience.

Responsibilities

  • Corporate governance: Prepare board and stockholder meeting materials, agendas, minutes, written consents, resolutions, secretary's certificates, and incumbency certificates. Track and calendar governance obligations across the entity portfolio.
  • Entity management: Own the full lifecycle of entity administration — formations and dissolutions, foreign qualifications, annual reports, franchise tax filings, registered agent management, signatories, officer and director lists, post-integration cleanup.
  • KYC, UBO, and diligence: Respond to KYC/UBO and diligence requests from bank partners, regulators, auditors, insurers, and counterparties, and build reusable packages.
  • Equity support: Support equity administration, option and RSU grants, board approvals of equity awards, secondaries, and equity plan recordkeeping in partnership with Finance and People.
  • Transaction support: Run diligence support, signature collection, closing checklists, closing binders, and post-closing obligations for financings, credit facilities, M&A, real estate, and insurance renewals.
  • Commercial and cross-functional support: Assist with powers of attorney, delegations of authority, and corporate approvals needed by the business.
  • Employment support: Support employment- and immigration-related requests and filings.
  • Litigation support: Support subpoena and law enforcement requests, legal holds, e-discovery, and document production. Review and respond to garnishment orders and UCC liens. Serve as Ramp’s custodian of records and as Ramp’s representative in small claims court cases.
