Job summary

LHH in Austin seeks a seasoned Corporate Paralegal to own governance matters, manage entity records, and support attorneys and clients on complex corporate matters with minimal supervision.

You'll handle entity formations, filings, minute books, board materials, cap table maintenance, and due diligence for M&A, with emphasis on Corporate Transparency Act compliance and robust governance.

Qualifications

  • Significant corporate paralegal experience at a law firm.
  • Deep understanding of corporate governance and entity management.
  • Familiarity with Corporate Transparency Act compliance.
  • Experience maintaining minute books and corporate records.
  • M&A diligence and transaction support experience.
  • Strong communication and client service skills.
  • Ability to work independently and own projects from start to finish.
  • Highly organized and detail-oriented professional.

Responsibilities

  • Manage entity formations and organizational matters.
  • Draft and file state corporate filings, amendments, qualifications, withdrawals, reinstatements, and name changes.
  • Maintain corporate minute books and governance records.
  • Draft board resolutions, consents, officer appointments, and governance documents.
  • Coordinate officer and director updates and maintain corporate records.
  • Order good standing certificates, certified copies, and related transaction documents.
  • Assist with cap table maintenance, equity tracking, and incentive award documentation.
  • Support mergers, acquisitions, due diligence requests, and data room management.
  • Prepare closing certificates, signature packages, and post-closing deliverables.
  • Serve as a key resource on governance and compliance matters, including Corporate Transparency Act requirements.

This is an exceptional opportunity for a seasoned corporate paralegal who enjoys operating at a high level, taking ownership of governance matters, and serving as a trusted resource to attorneys and clients alike. The ideal candidate understands the nuances of corporate compliance, entity management, and governance and can confidently navigate complex corporate matters with minimal supervision.


The team is looking for a true corporate professional who can step in immediately and provide substantive support on entity management, governance, diligence, and ongoing corporate maintenance. Experience with Corporate Transparency Act compliance is highly valued.


What You’ll Do


  • Manage entity formations and organizational matters.

  • Draft and file state corporate filings, amendments, qualifications, withdrawals, reinstatements, and name changes.
