Job summary

Deltek, Inc. is seeking a Senior Corporate Counsel to join its in-house legal team. You will draft, review, and negotiate technology licensing agreements and advise on regulatory issues unique to government contractors, partnering with Sales and Customer Success to mitigate risk.

The role requires 5+ years in a fast-paced environment, in-house or firm, with experience in SaaS licensing, FAR/DFARS, and data privacy. A Virginia bar admission or eligibility is essential.

Qualifications

• Experience advising technology or SaaS companies on commercial contracts, incl. on-premise, SaaS, and subscription licenses.
• In-house or law firm background with fast-paced environment and increasing scope.
• Knowledge of FAR/DFARS and Federal procurement for tech providers.
• Data privacy and security obligations for Government Contractors including NIST 800-171 and FedRAMP/CMMC concepts.
• Strong drafting, negotiating, and communication skills; ability to advise acrossSales & Customer Success teams.
• Experience with IP licensing, open-source licensing, and data rights/ownership in IP agreements.
• Experience with AI-powered legal tools to improve high-volume contract workflow.

Responsibilities

• Draft, review, and negotiate technology/licensing agreements.
• Advise the business on legal/regulatory issues relevant to project-based operations.
• Partner with Sales and Customer Success to manage risk and accelerate deals.
• Provide guidance on government contracting vehicles and compliance programs.

Education

J.D. from ABA-accredited law school

Bar admission in Virginia or eligible jurisdiction
