Qualia, a leading real estate tech platform, seeks a Corporate Counsel to own corporate matters and commercial contracts. You will work with the Associate General Counsel, support board governance, financings, and M&A, and draft/negotiate high-volume commercial agreements.

Experience with SaaS, IP, and data privacy is essential, with hands-on AI tooling in legal workflows. Open to remote candidates in the United States; base salary ranges from $200,000 to $230,000 plus equity and benefits.

Qualifications

JD and active bar membership in good standing in at least one U.S. jurisdiction.
3–6 years of corporate experience at a law firm and/or in-house at a technology company.
Corporate governance work with venture financings, M&A diligence, and disclosure schedules.
Experience drafting and negotiating commercial agreements (partnership, SaaS/technology, procurement).
Strong IP, data privacy, and software agreement knowledge.
Excellent communication, negotiation, and ability to explain complex issues to non-lawyers.
Hands-on experience using generative AI tools such as Claude in legal work.

Responsibilities

Corporate: support board and stockholder matters, financings, M&A, and other corporate transactions; manage outside counsel; maintain records.
Commercial: draft, review, and negotiate a high volume of agreements (partnerships, vendor/SaaS); advise on deal structure and risk.
Collaborate with cross-functional teams (Procurement, Security, IT, Finance) on contracting and templates.
Identify IP, data privacy, and regulatory issues in contracts; develop and maintain templates and playbooks; provide training.
