Job summary

Qualia is seeking a Corporate Counsel to support governance, financings, and strategic partnerships from San Francisco or via remote work options. You will draft and negotiate commercial agreements, manage outside counsel, and help shape contract templates and playbooks.

The role emphasizes working with finance, product, and operations teams to assess risk while using AI tools to streamline processes. This is an in-house, individual contributor position with competitive compensation.

Qualifications

• JD and active bar membership in good standing in at least one U.S. jurisdiction.
• 3–6 years of corporate experience at a law firm or in-house at a technology company.
• Experience with corporate governance, financings, M&A diligence, and disclosure schedules.
• Experience drafting and negotiating commercial agreements, including SaaS/partner contracts and procurement.

Responsibilities

• Corporate: prepare board/stockholder materials, manage minute books, support equity management, and company formations.
• Commercial: draft/negotiate high volume of commercial agreements (SaaS, partnerships, vendor contracts).
• Advise business teams on deal structures, risk, IP, privacy, and regulatory issues; develop templates and playbooks.
