Job summary

Databricks is seeking a talented Senior Corporate Counsel to join the Legal team in Washington, DC. The role will advise on governance, securities law compliance, and a broad range of corporate matters, including M&A, venture transactions, and public company readiness.

Qualifications

• Advising public and/or high-growth companies on governance, securities compliance and reporting.
• Experience with M&A, venture transactions and equity financing.
• Strong ability to advise on IPO readiness and governance best practices.
• Proven ability to work with senior management and cross-functional teams.

Responsibilities

• Support all phases of corporate transactions, including M&A, ventures and equity/capital raising.
• Assist with public company readiness and securities law compliance initiatives.
• Develop and improve disclosure controls in coordination with finance and IR.
• Prepare and review board materials and advise on governance matters.
• Draft governance and compliance policies and ensure ongoing updates.
• Review investor communications, press releases and public disclosures.
• Support ESG reporting and sustainability disclosures as needed.
• Provide global antitrust and competition counseling related to M&A.
• Lead international subsidiary management and structure.
• Set OKRs to scale legal support for corporate matters.
