Qualifications

• 8+ years at a national or large law firm, or in-house in a public company
• J.D. from a top-tier law school
• Member of a state bar in good standing
• Experience advising public/high-growth companies on governance, securities, IPO readiness or corporate transactions
• Strong interpersonal skills and ability to work with senior management

Responsibilities

• Support all phases of corporate transactions, including M&A and ventures
• Support public company readiness and securities law compliance
• Develop and improve disclosure controls with finance and IR
• Prepare and review board materials and advise on governance
• Review investor materials and corporate communications
• Support ESG and sustainability reporting
• Advise on antitrust aspects of M&A and global competition counseling
• Lead international subsidiary management
• Establish OKRs to scale legal support for general corporate matters
• Develop relationships with internal and external stakeholders
