Job summary

DigitalOcean is seeking a Senior Corporate Counsel, Datacenters and Infrastructure, to guide high-value infrastructure transactions, including datacenter leasing and related agreements. You will partner with cross-functional teams, manage risk, and help scale global datacenter operations.

The role supports international expansion, drafts and negotiates MSAs, LOIs, and purchase agreements, and builds scalable legal tools while aligning with business goals.

Qualifications

• JD from an accredited law school and active bar membership in at least one U.S. state.
• 8+ years of legal experience with 3+ years in-house on datacenter/large-scale infrastructure.
• Experience negotiating datacenter contracts and related facilities/maintenance agreements.
• Familiarity with SLA concepts, tax incentives, and financing structures.
• Ability to manage multiple projects with minimal oversight and tight timelines.
• Strong business judgment and ability to translate legal advice for business stakeholders.
• Excellent written and spoken communication with cross-functional leaders.

Responsibilities

• Draft, review, and negotiate datacenter-related agreements to signature (LOIs, MSAs, order forms).
• Structure, negotiate, and manage capacity leasing, colocation, and design/build contracts.
• Collaborate with procurement, engineering, finance, tax, and compliance on deal structuring.
• Provide business-focused risk guidance and assess supplier risk and performance.
• Support international expansion by coordinating with local counsel on jurisdictional issues.
• Develop scalable legal tools: templates, playbooks, and approval matrices.
