Job summary

Fleet Data Centers seeks a senior-level corporate counsel to provide legal guidance on data center leasing transactions with hyperscalers and to support corporate, governance and transactional matters. The role requires drafting and negotiating complex leases, MSAs, joint ventures, and related documents, while building scalable legal processes.

Qualifications

• J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction.
• 10+ years of relevant experience in large law firm and in‑house roles.
• 5+ years of direct experience negotiating hyperscale and enterprise data center leases.

Responsibilities

• Provide legal expertise for drafting and negotiations of data center agreements (hyperscale and enterprise data center leases, service agreements, change order forms, etc.).
• Support deal structuring on joint ventures and land purchase agreements, and leasing terms including remedies, force majeure, change of control, security/audit rights, insurance, waiver of subrogation, indemnification and confidentiality provisions.
• Partner cross‑functionally with Commercial Management to align legal positions with delivery realities and business strategy.
• Draft and negotiate related agreements (MSAs, ancillary site/customer documents, LOIs/terms sheets, NDAs).
• Build scalable legal infrastructure: templates, playbooks, clause library, fallback positions, approval matrix, and negotiation processes.
• Manage outside counsel with scoping, supervision, budgets, and deliverables.
• Take on high‑priority legal work to stand up a lean, high‑functioning Legal Department (compliance and risk management, vendor agreements).
