Job summary

DigitalOcean is seeking a Senior Corporate Counsel for Datacenters and Infrastructure to lead high-value transactions and commercial agreements related to datacenter leasing, colocation, and hardware procurement. You will work with procurement, engineering, finance, tax, and compliance to structure deals and mitigate risk.

The role emphasizes scalable legal tooling, international expansion support, and collaboration with senior leadership.

Qualifications

• JD from an accredited law school.
• 8+ years of legal experience with 3+ years in-house supporting datacenter or large-scale infrastructure projects.
• Experience with datacenter contracts from developer/provider or tenant perspectives, including modified-gross, triple net, or other lease structures.
• Familiarity with facilities agreements and operations-and-maintenance contracts.
• Understanding of SLA constructs, maintenance windows, security, audit rights, change control, and service credits; tax incentives; financing structures.
• Ability to manage multiple projects to meet aggressive timelines with high-quality work.
• Strong business judgement to translate legal advice into actionable guidance for stakeholders.
• Excellent communication and collaboration with senior leadership.

Responsibilities

• Serve as a primary legal contact to drive datacenter agreements to signature (LOIs, MSAs, order forms, ancillary agreements).
• Draft, review, and negotiate datacenter-related agreements (capacity leasing, colocation, design/build, facilities/ops, procurement for GPUs and other compute hardware).
• Collaborate with procurement, engineering, operations, finance, tax, and compliance on deal structuring.
• Provide risk-focused counseling on supplier risk and performance/remediation matters.
• Support international expansion by coordinating with local counsel on jurisdictional requirements.
• Create scalable legal tools: templates, playbooks, fallback positions, approval matrices.
• Support other high-priority legal work as needed.
