Senior Commercial Counsel — SaaS AI Contracting (Remote)

Job summary

Canto is seeking its first in-house Commercial Counsel to build a modern contracting function from the ground up. You will own end-to-end contracting with a focus on growth, reporting to the CFO, and scaling AI-enabled processes across Sales, Finance, and executives.

You will drive negotiations, implement CLM, and partner with Security on privacy, AI governance, and regulatory requirements for the US and Europe.

Qualifications

• JD and active bar membership in good standing.
• 5-8 years of legal experience in SaaS or technology.
• Experience negotiating commercial SaaS agreements (MSAs, DPAs, NDAs).
• Working knowledge of GDPR, CCPA and related privacy regs.
• Ability to build processes from scratch and scale legal infra.

Responsibilities

• Own negotiation and execution of commercial SaaS agreements—MSAs, DPAs, NDAs—within guardrails.
• Enforce positions on non-standard terms and speed up signatures with controlled risk.
• Train Sales to handle routine negotiations, reducing legal bottlenecks.
• Lead end-to-end contracting for customer and vendor deals with AI-enabled ops.
• Implement a CLM system with templates, workflows, and authority controls.
• Use AI tools for contract review, risk flags, and automation.
