Job summary

Modal is seeking a Senior Commercial Counsel to join as the first commercial lawyer. You will draft and negotiate a wide range of commercial agreements and build templates, playbooks, and positions that guide our operations.

You will report to General Counsel and collaborate with Sales, BizOps, Finance and Engineering to lay the foundation for a growing legal team. You will own customer contracts (MSAs, SOs, NDAs, DPAs, BAAs) and vendor contracting, build repositories, and support CLM management

Qualifications

• Experience negotiating commercial technology agreements with enterprise sales motion.
• Ability to build templates and playbooks from scratch.
• Familiarity with privacy and regulatory data protection frameworks (GDPR, HIPAA).

Responsibilities

• Own customer contracting, including MSAs, service orders, NDAs, DPAs, and BAAs.
• Lead vendor-side contracting (capex procurement, SaaS tools, consulting arrangements).
• Build and maintain contract repositories, templates, and playbooks.
• Partner with Legal operations on CLM management and workflows.
• Review and revise policies and customer-facing materials.
