Job summary

Decagon is seeking a Senior Commercial Counsel to shape the legal foundation of a fast‑growing AI company. You will join early and partner with Sales, Security, Product, and Leadership to negotiate complex enterprise SaaS agreements and streamline contracting operations.

You will draft, negotiate, and close high‑volume commercial deals, ensure compliance with GDPR/CCPA/HIPAA, and design scalable legal infrastructure for velocity. This role offers high growth in an in‑office setting.

Qualifications

• Are a qualified attorney with 4–8+ years of legal experience, including top-tier law firm and/or in-house work.
• Experience drafting, negotiating, and closing high volumes of commercial agreements (SaaS, MSAs, SOWs, NDAs, DPAs, partner deals).
• Fluent in GDPR, CCPA, HIPAA; security concepts and AI governance in SaaS contexts.
• Balance legal risk with business outcomes and tailor guidance by context and deal stage.
• Thrive in cross-functional environments as the go-to legal resource for Sales, Finance, Product, and RevOps.
• Communicate clearly, translating legal risk into actionable guidance for non-legal stakeholders and counterparties.
• Motivated by fast growth, ambiguity, and building scalable legal systems.

Responsibilities

• Review and negotiate our commercial agreements, balancing legal risk with business goals.
• Provide guidance to sales teams based on technology, market norms, and deal stage.
• Define and enforce policies and controls over contracting processes.
• Build relationships across the company as a trusted legal partner.
• Grow with the team and expand scope beyond Commercial law when needed.
