Talnt, a leading law firm, seeks a Corporate Associate with 2 to 4 years of Securities and Capital Markets experience to join a nationally recognized Corporate practice.

This partnership-track role represents public companies, issuers, underwriters, placement agents, and emerging growth businesses in sophisticated capital markets transactions, securities offerings, SEC reporting, and corporate governance matters.

Qualifications

• JD/LLM from ABA-accredited law school required.
• Bar admission in MA or NY or eligibility.
• 2–4 years of securities/capital markets experience.
• Experience advising on Securities Act and Exchange Act compliance.
• Experience drafting SEC filings and disclosure documents.
• Strong drafting, negotiation, and communication skills.
• Ability to manage multiple matters and meet deadlines.

Responsibilities

• Represent public companies, issuers, underwriters, and investors in broad securities/capital markets transactions.
• Draft and negotiate transaction documents for offerings and financings.
• Advise on Securities Act compliance and registered offerings.
• Counsel on Exchange Act reporting obligations and SEC disclosures.
• Advise boards on governance and public company best practices.
• Coordinate workstreams with banks, auditors, counsel, and other advisors.
• Assist with securities law compliance and governance matters.
• Collaborate across corporate, tax, finance, and other teams.
• Manage multiple client matters with responsiveness and attention to detail.
• Stay current on securities law developments.
