Talnt is seeking a Corporate Associate with 2 to 4 years of Securities and Capital Markets experience to join a nationally recognized corporate practice in Boston or New York. Qualifications

• JD or LLM from ABA-accredited law school.
• Admission to MA or NY Bar or eligibility.
• 2–4 years of capital markets experience representing issuers/underwriters/agents.
• Experience advising on Securities Act and Exchange Act compliance and governance.
• Strong drafting, negotiation, analytical and research skills.
• Ability to work independently while collaborating in a team.

Responsibilities

• Represent public companies, issuers, underwriters, placement agents, and investors in securities/capital markets transactions.
• Draft, review, and negotiate transaction documents for offerings and financings.
• Advise on Securities Act of 1933 compliance and registered offerings/exempt transactions.
• Counsel on Exchange Act reporting obligations (e.g., 10-K, 10-Q, 8-K, proxies).
• Advise boards on governance, SEC compliance, and public company requirements.
• Conduct due diligence and assist in drafting registrations, memoranda, and prospectuses.
• Coordinate with banks, auditors, and other advisors to ensure deal execution.
• Assist clients with governance, disclosure controls, and insider trading policies.
