Our client, a nationwide law firm with a broad corporate and securities practice, seeks a mid-level to senior Corporate & Securities Associate to join its team in multiple office locations.

The role involves advising on capital markets transactions for a diverse client base, including IPOs, private placements, and debt offerings, with opportunities for growth and collaboration across practice areas.

Qualifications

• J.D. from an accredited law school.
• Active bar admission and good standing in the jurisdiction where the attorney will practice.
• Approximately 4–7 years of corporate and securities law experience.
• Significant experience advising on capital markets transactions, including IPOs, secondary offerings, private placements, debt offerings, and securitizations.
• Strong academic credentials.
• Excellent research, drafting, analytical, and negotiation skills.
• Outstanding written and verbal communication abilities.
• Ability to manage multiple complex transactions and deadlines in a fast-paced environment.
• Strong client-service mindset and collaborative approach.

Responsibilities

• Advise public and private companies on capital markets transactions and securities law matters.
• Represent issuers, underwriters, and market participants in IPOs, follow-on and secondary offerings, private placements, debt offerings, and securitizations.
• Assist clients with ongoing securities law compliance and public company reporting obligations.
• Draft and review registration statements, offering documents, disclosure materials, and transaction agreements.
• Conduct legal due diligence and assist in transaction management and execution.
• Advise clients on corporate governance and securities regulatory matters.
• Collaborate with attorneys across practice areas to provide strategic, business-focused legal advice.
• Maintain strong client relationships and contribute to the overall success of corporate transactions.
