Talnt is seeking a talented Corporate Associate for its Emerging Companies & Venture Capital practice in Boston or New York, hybrid work. The role targets 4–5 years of experience handling venture capital financings, startup counseling, and day-to-day corporate matters.

You will guide founders, portfolio companies, and investors through formation, governance, and strategic transactions, with leadership opportunities and client-facing mentorship in a fast-paced environment.

Qualifications

• 4–5 years of experience representing emerging companies, venture capital funds, founders or investors in corporate transactions.
• Strong background in venture capital financings, startup counseling, and general corporate matters.
• Familiarity with capitalization tables and equity ownership structures.
• Proficiency with AI-powered legal research, drafting, and productivity tools.

Responsibilities

• Represent emerging growth companies, founders, venture capital funds, and investors in a broad set of corporate matters.
• Draft, review, and negotiate venture financing documents (preferred stock, SAFEs, convertible notes).
• Advise on formation, governance, capitalization, and equity compensation for startups.
• Counsel boards and executives on fiduciary duties, stockholder matters, and strategic decisions.
• Supervise and mentor junior associates on venture capital and startup matters.
