Job summary

Everlaw is seeking a Commercial Contracts Attorney to join our Legal team. You will review, redline, and negotiate customer-facing SaaS agreements, NDAs, and vendor contracts, while guiding internal teams on terms affecting revenue and risk.

You will calibrate communication for legal, business, and technical audiences and adapt to evolving contract playbooks and AI-enabled workflows. The role requires 1–3 years of in-house SaaS contracting or equivalent experience, a J.D., and active bar

Qualifications

• 1–3 years of commercial contracting experience in-house at a tech company or SaaS-focused law firm.
• J.D. and active state bar membership.
• Experience negotiating terms like Limitations of Liability, Indemnification, IP Rights, and Data Security.

Responsibilities

• Review, redline, and negotiate customer-facing SaaS subscription agreements, order forms, NDAs, and statements of work.
• Negotiate inbound vendor and software licenses, professional services agreements, and procurement contracts.
• Maintain Everlaw's contract playbooks and standard forms as the business evolves.
• Advise Sales and Finance on contract terms affecting revenue recognition, billing, and deal velocity.
• Integrate approved AI productivity tools into daily review and drafting workflows.
