Job summary

Everlaw in Oakland, CA is seeking an in-house Commercial Contract Counsel to support our contracting engine, reviewing, redlining, and negotiating customer SaaS agreements, NDAs, and SOWs, in collaboration with Sales and Finance.

You will help evolve contract playbooks, address liability, data security, IP terms, and integrate AI tools into daily workflows while navigating a fast-growing, tech-focused environment.

Qualifications

• 1–3 years of commercial contracting experience in-house at a technology company or SaaS with a focus on customer agreements
• JD and active state bar membership
• Experience negotiating terms like Liabilities, Indemnification, IP, and Data Security
• Clear, concise redlines for legal, business, and technical audiences

Responsibilities

• Review, redline, and negotiate customer-facing SaaS subscription agreements, order forms, NDAs, and statements of work.
• Review and negotiate inbound vendor and software licenses, professional services agreements, and procurement contracts.
• Apply, maintain, and update contract playbooks and standard form agreements.
• Advise Sales and Finance on contract terms affecting revenue recognition, billing structures, and deal velocity.
• Integrate approved AI productivity tools into daily contract review and drafting workflows.
• Answer day-to-day contract questions from internal stakeholders and monitor developments in SaaS, AI, data privacy, and cloud technologies
