Job summary

Eudia Counsel is seeking an experienced Commercial Contracts Consultant to lead negotiations on complex B2B agreements for Fortune 500 clients. You’ll review terms, data processing, and AI-enabled negotiation tools in a fast-paced, remote setting.

Collaborate with legal, product, engineering and sales teams to balance business goals with risk. The role emphasizes structured contracting processes, playbooks and evolving AI-driven workflows.

Qualifications

• Experienced commercial contracts professional with 2+ years drafting, reviewing and negotiating a wide range of commercial agreements.
• SaaS contracting experience, including SaaS subscription, software licensing, technology services and data processing agreements.
• Experience working with sales teams, supporting deal cycles and helping close customer agreements while protecting the business.
• Experience working in an in-house legal, contracts management, procurement, commercial or similar environment.
• Strong knowledge of commercial contracting principles across procurement, vendor and licensing agreements.
• Experience using contract templates, playbooks and standard negotiation guidance.
• Excellent attention to detail, with the ability to identify contractual risks and escalate issues appropriately.
• Strong commercial judgment and the ability to balance business objectives with contractual risk.
• Ability to manage multiple priorities and adapt quickly across different industries, customers and contract types.
• Strong communication and stakeholder management skills, with experience collaborating across legal, sales, product, procurement and engineering teams.
• Experience using contract lifecycle management (CLM) systems, legal technology or AI-enabled contract review tools is a plus.

Responsibilities

• Draft, review and negotiate a broad range of commercial agreements, including MSAs, SOWs, vendor and procurement, SaaS, software licensing, and technology services agreements.
• Prepare and negotiate NDAs, DPAs, purchase agreements and standard terms and conditions.
• Support partnerships by reviewing and negotiating product integration, platform and partnership agreements.
• Identify contractual risks and escalate complex legal issues.
• Collaborate with legal stakeholders to align agreements with commercial objectives and risk frameworks.
• Support contract lifecycle management by maintaining templates, playbooks, clause libraries and negotiation guidance.
• Leverage AI-enabled contract review and data extraction tools to improve contracting workflows.
• Provide feedback to refine structured contracting processes and AI model outputs.
• Work cross-functionally with legal, procurement, sales, product, engineering and business teams.
• Manage multiple contracts and stakeholder priorities with high quality and responsiveness.
