Eudia Counsel is seeking a US-licensed Commercial Contracts Consultant to support the global contracts team of a leading organization. The role focuses on North American technology and data licensing agreements, handling ~10 complex contracts per month, end-to-end from review to signature.

The position is part-time (roughly 20 hours per week), remote with North American hours, start ASAP, initial 3-month term with a strong chance of extension.

Qualifications

• Licensed (barred) US attorney; all negotiations governed by US law.
• 10+ years negotiating technology contracts; in-house or with a tech-focused firm.
• SaaS licensing and data licensing experience essential.
• Knowledge of data protection terms, DPAs, IP ownership, liability and indemnities.
• Based in North America or able to work North American hours.

Responsabilités

• Review, redline and negotiate complex technology agreements including SaaS, software licensing and data licensing.
• Work on client templates and counterparty papers.
• Negotiate through to signature or closure; escalation as needed.
• Collaborate with IT, procurement, data privacy and IP teams to align needs and timelines.
• Prepare short summaries of negotiated positions for stakeholders.
• Use AI platform and client playbooks and provide feedback to improve them.
