Job summary

Fox Rothschild LLP in the United States is seeking a mid-level or senior associate with mid-market M&A ($25M–$500M) and venture capital experience. This is substantive, client-facing work with exposure to sophisticated deal structures and direct client contact.

We seek 4–6 years of corporate and transactional experience and knowledge of corporate and partnership taxation concepts. We are not currently accepting resumes from search firms for this position.

Qualifications

• Juris Doctorate required; licensed to practice in listed jurisdictions.
• Strong writing skills with an excellent academic record.
• Experience drafting stock and asset purchase agreements; familiarity with NVCA documents.
• Ability to handle routine matters independently and interact directly with clients.
• Experience handling major acquisitions and divestitures for middle-market companies; large law firm experience preferred.

Responsibilities

• Client-facing deal structuring and negotiation for mid-market M&A and VC.
• Handle acquisitions and divestitures for numerous companies and advise on deal strategy.
• Provide guidance on corporate and partnership taxation concepts.
