Qualifications

• Juris Doctor (JD) degree from an accredited law school.
• Active U.S. bar membership.
• 4-8 years of legal experience in securities law, corporate law, and equity compensation.
• Comprehensive knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.
• Experience drafting equity plans, award agreements, and subscription documents.
• Strong analytical skills and ability to manage cross-functional initiatives.

Responsibilities

• Design, implement, and govern equity compensation programs and related structures.
• Ensure compliance of equity-related transactions with securities laws and regulatory frameworks.
• Lead equity management matters and interpret equity agreements and LLC provisions cross-functionally with Finance, HR, and Payroll.
• Oversee SEC reporting obligations (e.g., Form D filings) and related documentation.
• Support legal aspects of M&A including due diligence and integration of equity awards.
• Collaborate with Finance, HR, and Payroll to align incentives with business goals.
