Omnissa is seeking an Associate Counsel, Americas Commercial, to support the Americas Deal Management and Sales teams. You will draft, review and negotiate software licenses, cloud services agreements, and related professional services contracts in alignment with company policies.

The role requires US bar admission, at least two years negotiating B2B tech agreements, and strong drafting and negotiation skills. Hybrid or remote work options, base salary range posted, and comprehensive benefits.

Qualifications

Qualified to practice law in a US jurisdiction.
Minimum 2 years negotiating software and cloud services licensing and related professional services at a B2B company.
Excellent drafting and negotiation skills; clear communication of complex concepts.
Ability to identify legal and business risks and provide practical solutions.
Ability to work in a fast-paced environment with multiple priorities.
Collaborative, cross-functional teamwork; stakeholder management.

Responsibilities

Draft, review and negotiate customer agreements (licensing, cloud services, consulting, professional services).
Provide legal advice on modifications to standard terms and deal-related questions; escalate higher-risk issues as needed.
Support internal stakeholders on sales contract matters; interpret contract terms and resolve disputes.
