Job summary

Turner & Townsend is seeking a Corporate Legal Counsel to support contracts, corporate governance, and regulatory compliance in the US. You will work with Operations, Central Services, and Risk Management to manage risk and support business objectives.

The role involves governance oversight, drafting and negotiating government contracts, and coordinating with external counsel as needed. Qualified Attorney with bar admission and 5-7 years of U.S.

Qualifications

  • Qualified Attorney with a current Bar admission and in good standing.
  • 5–7 years of law firm and in-house experience in U.S. corporate law and government/public sector contracts.
  • Experience with government/public sector contracts and FOIA requests.
  • Experience with construction law and contracts, litigation and dispute resolution.
  • Strong knowledge of corporate law including IP rights, commercial law and legal research.
  • Excellent communication skills (written and oral).
  • Willingness to work across time zones and be flexible across global teams.

Responsibilities

  • Support corporate governance requirements including filings and licensing, ensuring compliance with federal, state and local law.
  • Draft corporate resolutions, organize board meetings, maintain corporate records, and advise directors on governance obligations.
  • Monitor and advise on corporate law matters and regulatory requirements, ensuring compliance.
  • Support FOIA requests and matters relating to federal and public agency records.
  • Draft, review, negotiate government and public sector contracts, leases, joint venture agreements, SaaS agreements, and RFP/RFQ responses.
  • Develop and maintain standard contracting templates and legal guardrails for government/public sector clients.
  • Assist with claims and dispute management, including debt recovery and litigation, working with external counsel where appropriate.
  • Handle subpoenas and depositions, and represent Turner & Townsend at court hearings with external counsel as needed.
