The role collaborates with General Counsel, Corporate Secretary, finance, and senior management to maintain accurate records and ensure compliance.

Qualifications

• Bachelor's degree and/or paralegal certificate preferred.
• 5+ years of paralegal or corporate legal experience, preferably with a public company.
• Experience supporting Board governance and SEC reporting.
• Familiarity with EDGAR filings and Section 16 reporting.
• Proficiency with governance platforms and contract management systems.

Responsibilities

• Support Board and committee governance administration and materials.
• Coordinate SEC filings, calendars, and deadlines with stakeholders.
• Maintain corporate records, minute books, and governance calendars.
• Administer governance technology platforms and document management.
• Assist with trademark, franchise documentation, and related reviews.
• Prepare and coordinate board materials and director onboarding.
