Booking Holdings seeks an experienced Corporate Governance Paralegal to support securities, financing, and governance matters. You will interface with senior executives and counsel across our global organization on board materials, filings, and governance records.

Responsibilities include coordinating SEC filings (Section 16), annual proxy processes, and intercompany transactions, while maintaining corporate minute books. A diligent, proactive candidate will thrive in this role.

Qualifications

• Flawless written and verbal communication abilities.
• Self-starter mentality with initiative to add value.
• Attention to detail in a corporate governance context.
• Experience with SEC filing requirements, including Section 16 filings and proxy process.
• Advanced knowledge of corporate secretarial functions and minute books.

Responsibilities

• Collaborate with Legal on SEC filings and governance policies.
• Manage board meeting agendas, materials, distributions, and reviews.
• Lead records management for board and committee materials.
• Oversee board meeting workstreams and annual stockholders’ meeting.
• Support subsidiary management, intercompany transactions, and formation filings.
• Assist with Insider Trading Policy and delegations of authority processes.
