Job summary

1-800-FLOWERS.COM, INC is seeking a Corporate, SEC & Governance Paralegal to provide high-level legal and administrative support focusing on public company governance, SEC reporting and compliance, trademark and marketing material review, and franchise documentation. The role collaborates with the General Counsel, Corporate Secretary, finance teams, senior management, the Board, and outside counsel.

Qualifications

• Bachelor's degree and/or paralegal certificate preferred.
• 5+ years of paralegal or corporate legal experience, preferably with a public company.
• Experience supporting Board governance and SEC reporting.
• Experience with SEC filings, EDGAR, Section 16 reporting, and public company compliance processes.
• Experience with board portal/governance technology platforms preferred.
• Experience with trademark administration and review of marketing materials preferred.
• Experience with franchise documentation preferred.
• Strong organizational and project-management skills with ability to manage multiple deadlines.
• Excellent attention to detail, confidentiality, and communication skills.

Responsibilities

• Support Board and Committee governance administration and materials.
• Coordinate preparation and distribution of board materials, agendas, and records.
• Maintain confidential minute books and governance calendars.
• Assist with annual board meeting scheduling and director onboarding/offboarding.
• Track director/officer compliance and stock ownership reporting.
• Administer governance platforms and support directors and executives.
