Job description

The Corporate, SEC & Governance Paralegal will provide high-level legal and administrative support to the Legal Department, with a primary focus on public company governance, SEC reporting and compliance, trademark and marketing material review, and franchise documentation.

This role will work closely with the General Counsel, Corporate Secretary, finance and accounting teams, senior management, the Board of Directors and its committees, outside counsel, and other business partners. The successful candidate will be highly organized, detail-oriented, technologically proficient, and comfortable managing confidential and time-sensitive corporate matters.

The position will have responsibility for maintaining corporate records and governance processes, supporting preparation and filing of SEC reports, administering board and committee materials and workflows through governance technology platforms, coordinating trademark and marketing reviews, and maintaining franchise-related documentation.

Key Responsibilities

Board and Committee Governance

  • Support the Corporate Secretary and Legal Department in all aspects of Board of Directors and committee administration and governance.
  • Coordinate preparation, compilation, distribution, and maintenance of Board and committee meeting materials, agendas, resolutions, minutes, and related records.
  • Maintain accurate and confidential corporate minute books, Board and committee records, governance calendars, director information, and other corporate records.
  • Assist with preparation and coordination of annual Board and committee meeting schedules, calendars, agendas, questionnaires, certifications, and other governance requirements.
  • Support director onboarding and offboarding, including preparation and maintenance of director documentation.
  • Assist with tracking director and officer compliance matters, including annual questionnaires, D&O information, stock ownership reporting, and related certifications.
  • Administer and maintain board governance technology platforms, including uploading materials, managing meeting books and workflows, maintaining distribution lists and permissions, and supporting directors and executives with platform-related issues.
  • Coordinate with outside counsel and other advisors on governance matters as requested.

SEC Filings and Public Company Compliance

  • Assist with preparation, coordination, review, and filing of SEC reports and other public company filings, including Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and Section 16 filings.
  • Maintain SEC filing calendars and monitor reporting deadlines and related compliance requirements.
  • Assist with EDGAR filing processes, including document preparation, exhibit management, signature coordination, filing checklists, and post-filing records.
  • Coordinate with Finance, Accounting, Investor Relations, executive management, outside counsel, and filing agents in connection with SEC filings.
  • Maintain and organize SEC filing records, exhibits, certifications, disclosures, and supporting documentation.
  • Assist with Section 16 reporting and related insider-trading compliance administration.
  • Support annual proxy statement and meeting processes, including preparation and coordination of disclosure materials, stockholder meeting documentation, and related filings.
  • Monitor and maintain corporate and SEC compliance calendars and checklists.

Trademark and Marketing Material Review

  • Support the Legal Department in the administration of the company's trademark portfolio, including maintaining trademark records, renewal deadlines, applications, registrations, and related correspondence.
  • Coordinate with outside trademark counsel regarding filings, renewals, office actions, enforcement matters, and other trademark matters.
  • Assist with review and routing of marketing, advertising, promotional, and other customer-facing materials for legal and trademark compliance.
  • Maintain trademark usage guidelines, approved language, brand assets, and related legal records.
  • Assist business teams in identifying and escalating potential trademark, copyright, advertising, claims, or other legal issues.
  • Maintain and organize franchise documentation, including franchise agreements, amendments, renewals, notices, disclosure documents, and related correspondence.
  • Assist with preparation, review, execution, distribution, and maintenance of franchise-related legal documents.
  • Maintain franchise agreement databases and track renewal dates, expiration dates, notice requirements, and other contractual milestones.
  • Coordinate with business personnel and outside franchise counsel on documentation and compliance matters.
  • Assist with preparation, compilation, and maintenance of franchise disclosure and other regulatory documentation, as applicable.
  • Ensure executed agreements and related records are complete, organized, and readily accessible.

General Legal Department Support

  • Maintain organized electronic and physical legal files and corporate records.
  • Assist with execution and administration of contracts and other legal documents.
  • Manage legal department calendars, deadlines, trackers, and reporting tools.
  • Assist with entity management and corporate organizational records.
  • Coordinate signatures, notarizations, certifications, and other legal formalities as needed.
  • Support special projects and other corporate, securities, governance, intellectual property, franchise, and legal department initiatives.

Technology and Systems Responsibilities

The position will be expected to be highly proficient in, or quickly develop proficiency with, technology used to support a modern public company legal function, including:

  • Board governance platforms (e.g., Diligent Boards, Nasdaq Boardvantage, OnBoard, or similar)
  • SEC filing and disclosure platforms (e.g., Workiva, Donnelley Financial Solutions/ActiveDisclosure, EDGAR, or similar)
  • Contract and document management systems
  • Electronic signature platforms
  • Microsoft Office, particularly Word, Excel, PowerPoint, and Outlook

The paralegal will serve as a key administrative resource for the Legal Department's governance and SEC technology platforms and will help ensure that systems, records, workflows, permissions, and deadlines are maintained accurately and efficiently.

Requirements
  • Bachelor's degree and/or paralegal certificate preferred.
  • 5+ years of relevant paralegal or corporate legal experience, preferably with a publicly traded company or a law firm supporting public company clients.
  • Experience supporting Board and committee governance and SEC reporting strongly preferred.
  • Demonstrated experience with SEC filings, EDGAR, Section 16 reporting, and public company compliance processes.
  • Experience with board portal/governance technology platforms strongly preferred.
  • Experience with trademark administration and review of marketing materials preferred.
  • Experience with franchise agreements or franchise documentation preferred.
  • Strong organizational and project-management skills, with the ability to manage multiple deadlines simultaneously.
  • Exceptional attention to detail and accuracy.
  • Ability to handle highly confidential information with discretion and professionalism.
  • Strong written and verbal communication skills.
  • Ability to work independently while collaborating effectively with senior executives, directors, attorneys, outside counsel, and business teams.
  • Strong technology skills and demonstrated ability to learn and administer legal department systems.

The expected salary range for this position is $95,000 to $105,000 annually. Actual compensation will be determined based on experience, skills, internal equity, and other factors permitted by law.
