Qualifications

  • Bachelor’s degree and/or paralegal certificate preferred.
  • 5+ years of paralegal or corporate legal experience, preferably with a publicly traded company or law firm supporting public company clients.
  • Hands-on experience with SEC filings, EDGAR, Section 16 reporting, and public company compliance processes.

Responsibilities

  • Assist with SEC filings and public company compliance including 10-K, 10-Q, 8-K, proxy statements, and other filing materials.
  • Support Section 16 reporting (Forms 3, 4, 5) and EDGAR filing processes.
  • Maintain SEC calendars and ensure deadlines and compliance requirements are met.
  • Coordinate with Finance, Accounting, IR, executives, and outside counsel on filings.
  • Maintain corporate records, governance calendars, and related documents.
  • Assist with Board and committee materials, onboarding, and governance disclosures.

1-800-FLOWERS.COM, Inc. is seeking an experienced Corporate, SEC & Governance Paralegal to join our Legal team in Jericho, NY.

This highly visible role will report directly to the General Counsel and provide high-level legal and administrative support across SEC reporting and public company compliance, corporate governance, Board and committee administration, franchise documentation, trademark matters, and other corporate legal initiatives.

The ideal candidate will bring strong hands‑on experience supporting SEC filings and public company compliance. We are looking for someone who is highly organized, detail-oriented, technologically proficient, and comfortable managing confidential, deadline-driven matters where accuracy is critical.

Candidates may come from an in‑house public company legal department or a law firm supporting public company/corporate securities clients. While experience across all areas of the position is valuable, candidates are not expected to have experience with every responsibility listed below.

What You’ll Do
SEC Filings & Public Company Compliance
  • Assist with the preparation, coordination, review, and filing of SEC reports and public company filings, including Forms 10‑K, 10‑Q, 8‑K, proxy statements, registration statements, and Section 16 filings.
  • Support Section 16 reporting, including Forms 3, 4, and 5.
  • Assist with EDGAR filing processes, document preparation, exhibit management, signature coordination, filing checklists, and post‑filing records.
  • Maintain SEC filing calendars and monitor reporting deadlines and compliance requirements.
  • Coordinate with Finance, Accounting, Investor Relations, executive management, outside counsel, and filing agents.
  • Maintain organized SEC filing records, exhibits, certifications, disclosures, and supporting documentation.
  • Support annual proxy statement and stockholder meeting processes.
Board & Corporate Governance
  • Support the General Counsel/Corporate Secretary and Legal Department with Board of Directors and committee administration.
  • Coordinate the preparation, compilation, distribution, and maintenance of Board and committee meeting materials, agendas, resolutions, minutes, and related records.
  • Maintain corporate minute books, governance calendars, director information, and other corporate records.
  • Assist with annual Board and committee schedules, questionnaires, certifications, and governance requirements.
  • Support director onboarding and offboarding.
  • Assist with director and officer compliance matters, including annual questionnaires, D&O information, stock ownership reporting, and related certifications.
  • Administer Board governance technology platforms and assist directors and executives with platform‑related needs.
  • Maintain and organize franchise agreements, amendments, renewals, notices, disclosure documents, and related correspondence.
  • Assist with the preparation, review, execution, distribution, and maintenance of franchise‑related legal documents.
  • Track franchise agreement renewals, expiration dates, notice requirements, and other contractual milestones.
  • Coordinate with internal business partners and outside franchise counsel on documentation and compliance matters.
  • Assist with franchise disclosure and regulatory documentation.
Trademark & Marketing Support
  • Assist with administration of the company’s trademark portfolio, including records, renewals, applications, registrations, and related correspondence.
  • Coordinate with outside trademark counsel regarding filings, renewals, office actions, and other trademark matters.
  • Assist with the review and routing of marketing, advertising, promotional, and customer‑facing materials for legal and trademark compliance.
  • Maintain trademark usage guidelines, approved language, brand assets, and related legal records.
General Legal Department Support
  • Maintain organized electronic and physical legal files and corporate records.
  • Assist with contracts and other legal documents.
  • Manage Legal Department calendars, deadlines, trackers, and reporting tools.
  • Assist with entity management and corporate organizational records.
  • Coordinate signatures, notarizations, certifications, and other legal formalities.
  • Support special projects and other corporate, securities, governance, intellectual property, franchise, and Legal Department initiatives.
What We’re Looking For
  • Bachelor’s degree and/or paralegal certificate preferred.
  • 5+ years of relevant paralegal or corporate legal experience, preferably with a publicly traded company or law firm supporting public company clients.
  • Demonstrated hands‑on experience with SEC filings, EDGAR, Section 16 reporting, and public company compliance processes.
  • Experience supporting Board and committee governance strongly preferred.
  • Experience with SEC filing/disclosure platforms and Board governance technology platforms strongly preferred.
  • Exceptional attention to detail and accuracy.
  • Strong organizational and project‑management skills with the ability to manage multiple deadlines simultaneously.
  • Strong technology skills and the ability to quickly learn and administer Legal Department systems.
  • Ability to handle highly confidential information with discretion and professionalism.
  • Strong written and verbal communication skills.
  • Ability to work independently while collaborating effectively with senior executives, directors, attorneys, outside counsel, and cross‑functional business teams.

Additional experience with franchise documentation, trademark administration, intellectual property matters, or marketing material review is a plus, but is not required.

Experience with or the ability to quickly learn systems such as:

  • SEC filing and disclosure platforms, including EDGAR, Workiva, Donnelley Financial Solutions/ActiveDisclosure, or similar
  • Board governance platforms such as Diligent Boards, Nasdaq Boardvantage, OnBoard, or similar
  • Contract and document management systems
  • Electronic signature platforms
  • Microsoft Word, Excel, PowerPoint, and Outlook
Work Arrangement

This position is based in Jericho, New York and follows a hybrid schedule of four days onsite and one day remote per week.

The Legal Department maintains onsite coverage throughout the workweek, so the designated remote day may vary based on department coverage and business needs.

Compensation

The expected salary range for this position is $95,000 to $105,000 annually. Actual compensation will be determined based on experience, skills, internal equity, and other factors permitted by law.
