• Sophisticated experience advising on complex M&A and corporate finance matters.
• Strong experience managing private equity transactions and private-target M&A.
• Proven ability to manage complex deal timelines and oversee transaction workflows.
• Experience drafting and negotiating equity and asset purchase agreements and related documents.
• Extensive experience conducting, analyzing, and summarizing legal due diligence.
• Excellent written and oral communication, analytical abilities, and client interaction.
• Demonstrated ownership mentality and ability to manage multiple priorities.

Responsibilities

• Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions, focusing on private equity deals.
• Manage all phases of M&A transactions, including structuring, diligence, drafting, negotiation, and closing.
• Draft and negotiate purchase agreements, ancillary agreements, and transaction documentation.
• Lead and coordinate legal due diligence efforts, including supervising junior attorneys.
• Serve as a key point of contact for clients and external advisors throughout the transaction lifecycle.
• Collaborate with corporate, tax, finance, and regulatory teams to deliver integrated solutions.
