Sora Resource Group in Atlanta, GA, seeks a mid-level Associate Attorney to join its Mergers & Acquisitions and Corporate Finance practice in a HYBRID role. The position offers exposure to sophisticated domestic and cross-border M&A matters with emphasis on private equity transactions and private-company acquisitions.

Qualified candidates hold a JD from a top-tier law school, active Georgia bar in good standing, and 4–6 years of substantive M&A experience.

Qualifications

• JD from a top-tier law school with excellent academic record.
• Active Georgia Bar admission in good standing.
• 4–6 years of substantive experience handling mergers and acquisitions and complex corporate transactions.
• Experience advising on private equity transactions and private-target M&A.

Responsibilities

• Represent clients in mergers, acquisitions, divestitures, and strategic corporate transactions.
• Manage all phases of M&A transactions, including structuring, diligence, drafting, negotiation, and closing
• Draft and negotiate purchase agreements, ancillary agreements, and transaction documentation
• Lead and coordinate legal due diligence efforts, including supervising junior attorneys and synthesizing findings for clients
• Serve as a key point of contact for clients and external advisors throughout the transaction lifecycle
• Collaborate with attorneys across corporate, tax, finance, and regulatory disciplines to deliver integrated legal solutions
