AmLaw 100 law firm in Atlanta is seeking a mid-level Associate Attorney for its Mergers & Acquisitions and Corporate Finance practice. Hybrid work arrangement.

You will handle sophisticated domestic and cross-border M&A matters with a strong emphasis on private equity transactions and private-target M&A. The candidate should have a JD from a top-tier law school, active Georgia bar, and 4–6 years of substantive M&A experience in a demanding environment, with responsibility from diligence through

Qualifications

• JD from a top-tier law school with excellent academic record.
• Active Georgia Bar in good standing.
• 4–6 years of substantive M&A and corporate finance experience.
• Experience advising on complex M&A and private equity.

Responsibilities

• Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions.
• Manage all phases of M&A transactions, including structuring, diligence, drafting, negotiation, and closing.
• Draft and negotiate purchase agreements, ancillary agreements, and transaction documentation.
• Lead and coordinate legal due diligence efforts, supervising junior attorneys and synthesizing findings for clients.
• Serve as a key point of contact for clients and external advisors throughout the transaction lifecycle.
• Collaborate with attorneys across corporate, tax, finance, and regulatory disciplines.
