Corporate M&A Associate (Class of 2017–2021) - San Francisco, Dallas or New York

A premier global law firm is seeking a mid-to-senior-level Corporate M&A Associate (Class of 2017–2021) to join its market-leading Corporate practice in the United States.

This opportunity offers the chance to work on sophisticated domestic and cross-border transactions for leading public and private companies, private equity sponsors, and other strategic investors. The team is consistently involved in high-profile mergers, acquisitions, dispositions, joint ventures, and other transformative transactions across a broad range of industries.

The ideal candidate will have strong transactional experience, excellent drafting and negotiation skills, and the ability to take on significant responsibility in a client-facing role.

Responsibilities
  • Advise clients on a wide variety of corporate transactions, including:
  • Mergers and acquisitions
  • Asset and stock purchases
  • Private company transactions
  • Joint ventures and strategic alliances
  • Venture capital and growth equity investments
  • Draft, review, and negotiate principal transaction documents and ancillary agreements
  • Lead and manage due diligence processes and transaction execution
  • Coordinate transaction logistics through signing and closing
  • Identify and communicate key deal issues to clients and deal teams
  • Work directly with clients, opposing counsel, and other advisors throughout the transaction lifecycle
  • Mentor junior associates and contribute to team development
Qualifications
  • J.D. from an accredited law school
  • Admission and good standing in New York, Texas, or California
  • Class year 2017–2021
  • Significant corporate M&A experience at a major law firm and/or in-house legal department
  • Experience drafting and negotiating acquisition agreements and related transaction documentation
  • Ability to independently manage substantial components of complex transactions
  • Strong business judgment and commercial awareness
  • Excellent written and oral communication skills
Preferred Experience
  • Direct negotiation experience with opposing counsel
  • Experience reviewing and analyzing purchase agreements and preparing issues lists
  • Exposure to private equity-backed transactions is a plus
  • Track record of successfully managing multiple transactions simultaneously in a fast-paced environment
