Qualifications

  • Licensed and in good standing in the relevant jurisdiction or eligible for admission.
  • 3-6 years of corporate transactional experience at a reputable law firm.
  • Meaningful experience handling M&A transactions from LOI through closing.
  • Strong drafting, negotiation, and analytical skills.

Responsibilities

  • Represent public and private companies, private equity sponsors, and investors in mergers, acquisitions, divestitures, and joint ventures.
  • Draft, review, and negotiate purchase, merger, operating, and shareholder agreements, and ancillary documents.
  • Conduct and manage due diligence reviews and coordinate transaction processes.
  • Advise clients on corporate governance, entity formation, and general corporate matters.
  • Manage multiple deal timelines and communicate effectively with clients, opposing counsel, and transaction teams.
  • Work closely with partners on complex transactional matters and client development initiatives.
