Jones Day in New York seeks a mid-level associate to join its IP and Technology Transactions team. You will draft and negotiate licenses, SaaS and cloud agreements, and other tech-focused contracts for clients across industries.

You will support cross-border transactions, assist with IP due diligence, and advise on open source, data, AI and IP compliance matters while mentoring junior lawyers and coordinating with partners across the firm.

Qualifications

• 3–6 years of experience at a major law firm drafting and negotiating IP and technology transactions.
• Experience with technology and/or life sciences transactions.
• IP and technology due diligence experience.
• Admission to the New York Bar, or eligibility to seek prompt admission.
• Strong drafting, analytical skills and meticulous attention to detail.

Responsabilités

• Draft and negotiate IP and technology agreements including licenses, collaboration, SaaS and cloud arrangements.
• Support IP/tech aspects of M&A, private equity, and financing transactions.
• Advise clients on IP compliance matters including open source software, AI, and data.
• Work with partners and associates across the Firm on cross-border transactions.
• Mentor junior lawyers and engage in client interaction.
