Jones Day in New York seeks a mid-level associate to join its IP and Technology Transactions team. You will draft and negotiate licenses, SaaS and cloud agreements, and other tech-focused contracts for clients across industries.

You will support cross-border transactions, assist with IP due diligence, and advise on open source, data, AI and IP compliance matters while mentoring junior lawyers and coordinating with partners across the firm.

Qualificações

• 3–6 years of experience at a major law firm drafting and negotiating IP and technology transactions.
• Experience with technology and/or life sciences transactions.
• IP and technology due diligence experience.
• Admission to the New York Bar, or eligibility to seek prompt admission.
• Strong drafting, analytical skills and meticulous attention to detail.

Responsabilidades

• Support IP/tech aspects of M&A, private equity, and financing transactions.

IP and Technology Transactions Associate Posting

The New York office of Jones Day is seeking a mid-level associate to join the IP Transactions team within its Intellectual Property practice. Jones Day's IP Transactions team helps clients structure and negotiate transactions to develop, acquire, and commercialize highly valuable technology and intellectual property assets. The team's lawyers bring scientific expertise and industry experience in life sciences, medtech, digital health, software, semiconductors, data, AI, and fintech, and are located in key markets across the United States, Europe, China, Japan, and Australia.

Associates in this role will work closely with partners and associates across the Firm on IP, technology, and commercial transactions for clients in a diverse range of industries, including cross-border transactions. The work includes license, collaboration, and R&D agreements; software, SaaS, and cloud agreements; strategic alliances and joint ventures; manufacturing, supply, and distribution agreements; and services and outsourcing arrangements. Associates will also support the IP and technology aspects of M&A, private equity, and financing transactions, and advise clients on IP compliance matters, including those involving open source software, AI, and data.

Qualified candidates should have 3–6 years of experience at a major law firm drafting and negotiating IP and technology transactions.
